Affiliate Program Terms of Service

Welcome to Imaginando Lda's Affiliate Program. By signing up as an Affiliate, you agree to abide by the following terms and conditions.

1. Enrollment in the Program

To begin the enrollment process, you must submit a completed Affiliate Program application.

We will evaluate your application and notify you of its acceptance or rejection. We may reject your application if we determine that your site is unsuitable for our program.

Affiliates intending to promote our products through paid advertising (including but not limited to Google Ads, Meta Ads, TikTok Ads, or any other paid search, display, video, or social advertising) must disclose this in their application and receive prior written approval before running such campaigns.

2. Commissions and Payments

Affiliates will earn a 20% commission on qualifying sales made through their unique affiliate links.

Commissions will be paid quarterly, in January, April, July, and October, provided the Affiliate's account balance is at least 25 euros. If the balance is less, it will roll over to the next quarter.

Payments will be made via PayPal or SEPA transfers. Affiliates are responsible for any fees associatedwith receiving their commission payments.

We reserve the right to withhold, deny, or reclaim (clawback) any commission, including commissions already paid, for conversions found to result from a violation of these Terms, including violations discovered after payment has been made. Clawbacks may be applied retroactively for up to 12 months from the date of the conversion in question, and may be deducted from future commission balances if the affiliate account balance is insufficient.

3. Affiliate Responsibilities

Affiliates are responsible for ensuring that their unique affiliate links are properly formatted and used in a way that can track referrals and sales.

Affiliates must comply with all applicable laws and regulations in promoting our products.

Affiliates must not engage in any fraudulent, misleading, or illegal activities, including but not limited to spamming, misleading advertising, or using false claims.

We reserve the right to periodically review an Affiliate's promotional methods, including advertising accounts, campaigns, creative assets, and landing pages, and may request that an Affiliate disclose their traffic sources and promotional methods upon reasonable request.

4. Prohibited Activities

Affiliates may not use their affiliate links for self-purchases.

Affiliates may not promote our products on any website or platform that contains illegal, offensive, or inappropriate content.

Affiliates may not bid on, use, or incorporate Imaginando Lda's trademarks, trade names, product names, or any variation or misspelling thereof, in any paid advertising campaign, including but not limited to search, display, video, shopping, or social media advertising, whether as a keyword, ad copy element, campaign name, or otherwise.

Affiliates may not use Imaginando Lda's logos, product screenshots, marketing copy, or any other brand or creative assets in their own advertising or promotional materials without prior written authorization.

Affiliates may not set up advertising campaigns, sender identities, advertiser names, or promotional materials in a way that presents themselves as Imaginando Lda or that could reasonably create the impression that an advertisement, communication, or promotion originates directly from Imaginando Lda rather than from an independent affiliate.

Affiliates may not register domain names, social media handles, or app store listings that incorporate Imaginando Lda's trademarks or trade names, or confusingly similar variations thereof.

5. Termination

Either party may terminate this agreement at any time, with or without cause, by giving the other party written notice of termination.

We may terminate this agreement immediately, without prior notice, in the event of a violation of Section 4 (Prohibited Activities).

Upon termination, Affiliates will cease all promotion of our products and remove all affiliate links, brand assets, and any promotional materials referencing Imaginando Lda from their websites and other platforms.

6. Modification of Terms

We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. In such an event, you will be notified by email. Modifications may include, but are not limited to, changes in the payment procedures and Affiliate Program rules.

7. Limitation of Liability

We will not be liable for any indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages.

8. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of Portugal, without regard to the conflicts of laws and principles thereof.

9. Independent Contractor

The relationship between you and Imaginando Lda is that of an independent contractor, and nothing in this Agreement shall create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.

10. Confidentiality

Any information that you are exposed to by virtue of your participation in the Affiliate Program, which information is not available to the general public, shall be considered to be "Confidential Information." You agree not to disclose any Confidential Information to any third party and not to use any Confidential Information for any purpose other than the purposes of this Agreement.

By signing up for the Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
